Leonard J. C. Hardesty, JR.
Leonard J.C. Hardesty, Jr. provides expertise to
Herten Burstein in the areas of sophisticated corporate transactions
and general corporate law. He has extensive experience representing
both publicly and privately held companies in acquisitions,
divestitures and mergers. In addition, Mr. Hardesty has represented
public and private organizations with respect to start-up ventures;
franchise and licensing agreements; joint ventures; employment,
confidentiality, termination, and retention agreements; shareholder
buy-sell agreements, operating agreements, and partnership
agreements; and a broad range of other commercial agreements,
including the preparation and negotiation of commercial leases. With
a Master's Degree in Taxation, Mr. Hardesty brings particular
expertise in corporate and partnership tax analysis. He has managed
complex federal and state tax controversies, representing such
matters before the United States Tax Court and the New Jersey State
Tax Court.
Mr. Hardesty is a 1992 graduate of Purdue
University, where he earned a B.S. degree in Economics. He was also
graduated from the Stillman School of Business at Seton Hall
University in 1995, with an M.B.A. in Accounting. He received his
J.D. from Seton Hall University School of Law in 1998, and his LL.M.
in Taxation from New York University School of Law in 2001. While
attending law school, he served as clerk in the District Counsel's
office of the Internal Revenue Service, and subsequently, as
assistant to Corporation Counsel, International Tax Group, of a
major corporation. His present professional affiliations include the
New Jersey Bar Association (Taxation Section) and the Bergen County
Bar Association.
