Diane L. Mulligan
Diane L. Mulligan is an
impressive product of a diverse legal career moving with ease from
her standing as an accomplished complex commercial litigator to the
corporate boardroom. Ms. Mulligan’s versatile experience has made
her uniquely qualified to specialize in nearly all aspects of
Corporate Law. It can be said with great confidence that Ms.
Mulligan is proof positive that experienced commercial litigators
become gifted Corporate Lawyers. As a seasoned commercial litigator,
she learned the many pitfalls to corporate transactions and
governance, providing the tools to protect corporate clients from
such problems in her role as Corporate Counsel.
In 1989, Ms. Mulligan graduated cum
laude with distinction from the Dickinson School of Law as a Member
of the Coif and a Member of the Woolsack Society, as well as
receiving several other honors and awards. Ms. Mulligan joined the law firm of Porzio, Bromberg & Newman, P.C. located in
Morristown, New Jersey. In 1997, Ms.
Mulligan at the age of 33 was made a Partner at Porzio, Bromberg &
Newman, P.C. During her tenure, she exclusively specialized in
complex commercial litigation practicing among the state and federal
trial and appellate courts of New Jersey, New York, South Carolina,
Pennsylvania, and the United States Virgin Islands. Ms. Mulligan
served as co-lead counsel in one of the largest United States
Environmental Protection Agency Superfund cases venued in the United
States Virgin Islands and co-lead counsel to litigation over the
merger of three Fortune 500 Companies. In addition to the
exceptional oral and written advocacy skills gained as a commercial
litigator, Ms. Mulligan became adept in financial forensic
accounting, bank financing, corporate governance and the
negotiation of complex transactional documents.
In late 1998, Ms. Mulligan was offered
the opportunity to serve as outside General Counsel to a NYSE
public company. Seizing the opportunity, she merged her
practice with Edell & Associates, P.C., where she assumed the
position as Managing Principal and made the transition to the
specialty practice of Corporate Law. Within two years, Ms. Mulligan
was again retained to serve as outside General Counsel to an AMEX
public company. In her role as General Counsel to two
public companies, Ms. Mulligan was responsible for all
SEC compliance, filings and reports, including Sarbanes Oxley Act
compliance, mergers and acquisitions, human resource and employment
matters, vendor, supplier, development and marketing contracts,
Stock Option Plans, Secretary of Board meetings, as well as advising the companies on nearly all day to day
operational issues.
Ms. Mulligan joined Herten Burstein in
October 2007, to enhance our Corporate Department. Ms. Mulligan is a
tenacious, creative and talented attorney, who is sincerely dedicated to
